Job Summary:
The Legal Officer will be charged with the responsibility of:
Efficient and effective running of the operational aspects of the office,
Assists the Head of Legal and the legal team in the overall management of their portfolio.
Also assists the company secretary in performing her role including managing Board meetings, events and functions.
Duties & Responsibilities:
1. PA Responsibilities (20%)
•Monitor receipt and response of correspondence and queries from the business, external stakeholders and external firms and identify those needing priority attentions and escalate as necessary.
•Prepare management presentations and reports for meetings, seminars etc..
•Organise departmental meetings, maintain action plans and follow up progress.
•Undertake special assignments as requested by the Head of Legal.
•Organize visits by Legal team to Barclays entities.
•Make travel and accommodation arrangements, facilitate airport transfers and ground transport, schedule appointments and prepare detailed itineraries, organize for travel allowances, request for/obtain visas, secure tickets, work out budget implications and agree on which cost center to debit.
•Organize and coordinate Legal & Secretarial related functions in-country e.g. Conferences, Legal Awareness Programmes, Seminars, Away Days etc.
2. Operational Mgt – Legal (45%)
•Responsibility for records management and maintaining complete and accurate records as well as maintaining an appropriate and efficient filing system for all records of the Legal and Company Secretarial Function.
•Support the Legal Team in serving all the business areas and functions in relation to Legal risks and provide services required to achieve their business and functional objectives.
•Manage, control and monitor office budget and accounts:
•Prepare Legal and Company Secretarial budgets in consultation with Head of Legal ensuring basis is understood and monitor performance against budgets.
•Monitor External legal costs ensuring spend is within Budget.
•Ensure prompt submission of legal reconciliation return to Finance.
•Comment on budget variances, recommend action and follow up to ensure action is taken.
•Assist in managing the process of vetting, review, preparation and perfection of security documents and all other documents prepared in connection with retail and commercial lending and in collaboration with Barclays Documents and Securities Centre.
•Manage the tracking of relationships with external lawyers using best supplier management practices as described in the Use of Law Firms Policy and the Sourcing engagement model.
•Maintain and Monitor ongoing litigation and non-litigation matters and report the status in the Legal Risk Report.
•Manage external legal expenditure.
•Conduct risk and control assessment testing in line with the set out guidance and controls and maintain an audit trail.
•Monitor and oversee the processing of all fee notes from external law firms and liaise with finance to ensure settlement, maintain a detailed spreadsheet of all payments and reconcile figures on a monthly basis.
•Review department’s requirements and liaise with Procurement for replacements and enhancements.
•Ensure plans are in place to cover leave, training, development and awareness programs to legal team and related departments.
•Interpret and implement Bank operational policies and procedures to all staff in Legal.
•Manage Legal and Regulatory Risks (referred to below as ‘Legal & Regulatory’) and send a monthly report to the Country Head of Legal.
3. Company Secretarial (35%)
•Co-ordinate all Board events/functions, i.e. all BBU Board and Subsidiary Board meetings, Annual General Meetings, Workshops, Training etc.
•Prepare Board notices, papers for discussion, minutes and circulate to attendees.
•Monitor and manage a schedule for sealing and execution of legal documents.
•Administer and oversee payments of Non-Executive Directors salaries, allowances, and refunds, follow up to ensure payment.
•Ensuring compliance with statutory requirements.
•Responsibility for Legal’s Business Continuity Plans.
•Update company and directors information, file necessary returns at the Registrar of Companies and maintain records
Qualifications, Skills & Experience:
•The applicant should possess a formal Legal qualification.
•Ability to manage various events and functions.
•Legal and/or Company Secretarial qualifications or experience.
•Knowledge of the Bank’s structure, policies and activities,
•Good understanding of the Bank’s service standards including service initiatives,
•A good understanding of budgeting and cost control methodologies.
•A detailed knowledge of the Bank’s administrative policies,
•A Good knowledge of the Bank’s financial procedures and controls, Understanding of the role, objectives and responsibilities of the Head of Legal and Secretarial Services.
•Good understanding of the Company Secretary’s role and responsibilities.
•Basic legal knowledge and practical application.
•A person with a good understanding of Financial Management.
•Energetic person with the ability to handle high volumes of work, set priorities and meet deadlines.
•Ability to attend to detail and anticipate, be alert for and follow up on a large volume of activities.
•Punctuality and attendance in accordance with Bank policies, and willingness to work extra hours when required.
